1. Overview

These Terms of Service ("Terms") govern your access to and use of the websites, portals, tools, and services provided by Formul8 Cosmetics (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

2. Who we work with

Formul8 provides contract manufacturing and third-party logistics (3PL) services to brands and businesses in the beauty and personal care industry. The Services are intended for business and professional use only and are not directed to individual consumers.

3. Accounts & access

  • You are responsible for all activity that occurs under your account credentials.
  • You agree to keep your passwords and API keys confidential and to notify us promptly of any unauthorized use.
  • We may suspend or terminate access if we detect misuse, security risk, or violation of these Terms.

4. Orders, production & fulfillment

  • Any order, manufacturing run, or fulfillment project is subject to separate quotes, statements of work, or service agreements between you and Formul8.
  • Lead times, capacity, and shipping timelines are estimates and may vary based on supply chain and carrier conditions.
  • You are responsible for providing accurate product information, labeling content, and regulatory requirements for the markets in which you sell.

5. Fees & payment

  • Pricing, payment terms, and any late fees or finance charges will be specified in your quotes, invoices, or separate commercial agreements.
  • Unless otherwise stated, all fees are exclusive of taxes, duties, and other governmental charges.

6. Use of connected accounts and integrations

The Services may allow you to connect ecommerce or marketplace accounts (such as Amazon, Shopify, TikTok, or others). By connecting these accounts, you authorize Formul8 to access and process the data those platforms share with us for the purpose of providing order management, inventory management, analytics, and related Services. Your use of any third-party platform remains subject to that platform's own terms and policies.

7. Intellectual property

  • We retain all rights, title, and interest in and to the software, tools, processes, and content that make up the Services.
  • You retain ownership of your brands, formulas, packaging designs, and data that you provide to us.
  • You grant Formul8 a limited license to use your data solely as necessary to operate and improve the Services, as described in our Privacy Policy.

8. Confidentiality

Each party may receive confidential information from the other, including formulas, pricing, manufacturing processes, and business plans. Each party agrees to protect this information with reasonable care and to use it only for the purpose of providing or receiving the Services, except where disclosure is required by law.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, Formul8 will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, or data, arising out of or relating to your use of the Services. Our aggregate liability for any claim relating to the Services will not exceed the amounts paid by you to Formul8 for the Services giving rise to the claim in the twelve (12) months preceding the event.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above. Your continued use of the Services after the revised Terms become effective constitutes your acceptance of the changes.
